PDMR dealing disclosure in the United Kingdom

UK MAR after Brexit

Directors' dealings in the UK fall under Article 19 of UK MAR, the EU Market Abuse Regulation as carried into UK law at the end of the Brexit transition period on 31 December 2020. The Financial Conduct Authority (FCA) supervises it. Persons discharging managerial responsibilities (PDMRs) and persons closely associated with them must notify both the issuer and the FCA of own-account transactions in the issuer's shares, debt instruments and linked derivatives.

The UK threshold is still EUR 5,000 per calendar year, counted by adding transactions without netting. The EU raised its own figure to EUR 20,000 on 4 December 2024 through the Listing Act, a change the UK did not take on. UK MAR allows the FCA to raise the threshold to EUR 20,000; its published guidance still states EUR 5,000. The Financial Services and Markets Act 2023 provides for UK MAR to be revoked at a later date, and as of October 2026 Article 19 remains in force.

Three working days, then two

The PDMR must notify promptly and no later than three working days after the transaction. The issuer then has two working days from receipt to make the information public. Announcements go out through an FCA-approved Primary Information Provider, RNS from the London Stock Exchange being one of them, and are stored on the FCA's National Storage Mechanism (NSM), which holds Article 17 to 19 disclosures and is free to search.

A PDMR may not deal during the 30 calendar days before an interim or year-end report. The issuer can lift the ban case by case in exceptional circumstances, such as severe financial difficulty, or for specific transactions such as employee share schemes.

How the UK feed is built here

UK filings come from two sources merged into one market: the FCA NSM archive, which reaches back to 2011, and a daily read of the RNS wire for the most recent days, with duplicates removed at merge. The feed is per-trade. Sterling amounts are converted to euros, and the original figure is shown when the notice gives it. Because every transaction is notified once the yearly threshold is passed, small purchases sit next to large ones, so check the amount as well as the direction. The method is on the methodology page.
