Insider transaction disclosure in Turkey

Article 11 of the Material Events Communiqué

Turkey regulates insider disclosure through the Capital Markets Board (Sermaye Piyasası Kurulu, SPK) and its Communiqué on Material Events, numbered II-15.1 and published in the Official Gazette on 23 January 2014. Article 11, rewritten in February 2017, requires persons discharging managerial responsibilities, persons closely associated with them and the issuer's parent shareholder (ana ortak) to disclose their transactions in the company's shares and in instruments based on those shares. The person who trades files the notice.

The communiqué defines managers as board members plus executives outside the board who have regular access to inside information and the power to take decisions shaping the company's future. Closely associated persons include spouses, children, people sharing the same household, and legal entities that these people manage or control.

A TRY 250,000 annual trigger

A person owes no disclosure until the combined value of his or her trades reaches TRY 250,000 within a calendar year. From the trade that crosses the line, every later transaction must be disclosed. The 2014 text set the bar at TRY 50,000.

Notices go out on the Public Disclosure Platform (Kamuyu Aydınlatma Platformu, KAP), and unless the communiqué sets another deadline they are due immediately. In 2017 the SPK reminded issuers and insiders that late or incomplete article 11 and 12 notices can draw sanctions under article 103 of Capital Markets Law 6362.

Stake thresholds run on a separate clock

Article 12 covers ownership changes: reaching or falling below 5%, 10%, 15%, 20%, 25%, 33%, 50%, 67% or 95% of capital or voting rights. Since 2018 the Central Registry Agency (MKK) publishes the notice when a holder crosses one of these levels directly, while holders acting in concert or indirectly still file themselves. The deadline is 09:00 on the third business day after the transaction.

What the Turkish feed shows here

We collect KAP notices titled Shares Transaction Notification (Pay Alım Satım Bildirimi) for Borsa Istanbul companies and store each one as an individual trade, so the feed counts as per-trade. KAP forms state share amounts at nominal value in lira and rarely give a structured market price, so Turkish filings here carry the date and the buy or sell direction, usually without a euro amount. Use them to see who traded, when and in which direction. Other jurisdictions are listed in the markets overview.
