Insider share disclosure in Indonesia
Three groups file under POJK 4/2024
Indonesia's insider disclosure rests on Otoritas Jasa Keuangan Regulation No. 4 of 2024 (POJK 4/2024), promulgated on 28 February 2024 with a six-month lead time before it applied. It replaced POJK 11/POJK.04/2017 and covers ownership of, and every change in ownership of, shares in public companies. It also adds a separate report on share pledges.
Three groups must file. Members of the board of directors (Direksi) and of the board of commissioners (Dewan Komisaris) who hold voting shares, directly or indirectly, report every change, whatever its size. Any party holding at least 5% of the voting shares reports each time its whole-number percentage changes, including a fall below 5%. The controlling shareholder follows the same percentage rule.
Five working days, three once filing goes electronic
The deadline tracks Article 87(3) of Law No. 8 of 1995 on the Capital Market, as amended by Law No. 4 of 2023 on the Development and Strengthening of the Financial Sector. Filers used to have 10 days from the ownership event. POJK 4/2024 requires the report as soon as possible and no later than 5 working days after the voting rights are acquired or change. Once OJK provides an electronic reporting system, the limit drops to 3 working days.
A shareholder that pledges shares carrying at least 5% of the voting rights, in one pledge or several, files a pledge report within 5 working days of signing the agreement that reaches the threshold.
What the IDX filings show on this site
The reports appear among company disclosures on the Indonesia Stock Exchange (IDX). Our Indonesian feed is per-trade: each filing gives the insider's name, the capacity (director, commissioner or holder of 5% or more) and one line per transaction with quantity, rupiah price and date. We convert amounts to euros so you can compare trades across markets, and the rupiah figure stays visible when the filing states it.
Directors and large holders answer to different triggers. A commissioner's run of small purchases appears line by line, while a 5% holder may surface only when its stake crosses a percentage point. Role titles are grouped into buckets such as board members and major shareholders, with the original wording kept on the insider page. The methodology page describes how filings feed the scores.
