Managers' transactions in Denmark
The highest threshold MAR allows
Denmark has twice used its right to set a higher reporting threshold. Finanstilsynet, the Danish Financial Supervisory Authority, raised the Article 19 threshold from EUR 5,000 to EUR 20,000 through an executive order in force from 1 July 2020. A second order, no. 586 of 26 May 2025, lifted it to EUR 50,000 from 1 July 2025, the ceiling the EU Listing Act now permits. Both orders rest on section 223 of the Danish Capital Markets Act.
Finanstilsynet told ESMA it wanted to lighten the load on managers and issuers and to cut its own processing work. ESMA's list of 19 January 2026 shows Denmark with Germany and France at EUR 50,000. Malta went the other way, to EUR 10,000.
From the form to a company announcement
Managers and closely associated persons notify the issuer and Finanstilsynet no later than three business days after the transaction. Finanstilsynet recommends its standard reporting form because filers often make small mistakes, and it asks them to state the total price, the trading venue and the nature of the transaction.
The issuer then publishes the notification as a company announcement (selskabsmeddelelse) on Nasdaq Copenhagen, often with the completed forms attached.
What the Copenhagen data shows here
Our Danish feed reads Nasdaq Copenhagen company announcements in the Managers' Transactions category and parses the attached forms, so each card is one transaction. We convert Danish kroner to euros and keep the DKK figure visible. Titles such as bestyrelsesmedlem or bestyrelsesformand map to board members, direktion to other executives.
Since July 2025 a person whose trades stay below EUR 50,000 in a calendar year owes no notification at all. Keep that change in mind when you compare Danish activity before and after mid-2025. The performance page and the methodology page describe how we use the data.
